These Terms of Service ("Terms") govern your use of the services provided by AIBizzApps Limited ("we," "our," "us," or the "Company"). By engaging our services, you agree to be bound by these Terms.

1. Services

AIBizzApps Limited provides AI consultancy, software development, and related technology services. The specific scope, deliverables, and terms for each project will be defined in a separate written agreement or statement of work.

2. Client Responsibilities

By engaging our services, you agree to:

• Provide accurate and complete information necessary for project delivery
• Respond to requests for feedback and approvals in a timely manner
• Ensure you have the right to use any materials, data, or content you provide to us
• Comply with all applicable laws in your use of our services and deliverables

3. Intellectual Property

Client Materials

You retain ownership of all materials, data, and content you provide to us. You grant us a limited licence to use such materials solely for the purpose of delivering the agreed services.

Deliverables

Upon full payment, you will own the custom work product created specifically for your project, unless otherwise agreed in writing. We retain ownership of our pre-existing tools, methodologies, frameworks, and general knowledge, which we may use in other projects.

Portfolio Rights

Unless otherwise agreed, we reserve the right to reference the general nature of work performed for portfolio and marketing purposes, without disclosing confidential information.

4. AI-Specific Terms

Important: AI technology, while powerful, has inherent limitations. You acknowledge and agree that:

• AI systems may produce unexpected, inaccurate, or inconsistent outputs
• AI recommendations should be reviewed by qualified personnel before implementation
• We do not guarantee specific outcomes or results from AI implementations
• You are responsible for the final decisions made using AI-powered tools or recommendations
• AI models may change or be discontinued by third-party providers

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

6. Payment Terms

Payment terms will be specified in the project agreement. Unless otherwise agreed, invoices are due within 14 days of issue. We reserve the right to suspend work on overdue accounts and charge interest on late payments at 4% above the Bank of England base rate.

7. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific project giving rise to the claim
• We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities
• We are not liable for delays or failures caused by circumstances beyond our reasonable control
• We do not warrant that services will be uninterrupted, error-free, or meet all your requirements

8. Warranties and Disclaimers

We will perform services with reasonable skill and care. However, except as expressly stated, all services are provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability or fitness for a particular purpose.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from: (a) your breach of these Terms; (b) your misuse of deliverables; (c) your violation of any third-party rights; or (d) inaccurate information you provide.

10. Termination

Either party may terminate an engagement with 14 days written notice. Upon termination, you shall pay for all work completed up to the termination date. Sections relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.

11. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued engagement of our services after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
